零供交易自律国际经验及启示

摘　　要：随着实体零售面临转型升级挑战,网络零售进入巨头博弈阶段,我国零供关系发生了新的变化。国家高度重视零供关系对零售业健康发展的作用,近年来已经出台多项政策强调要完善零供公平交易规范及相关制度,支持构建信息共享、利益均摊、风险共担的新型零供关系。政府规制和行业自律是规范零供交易的两大方式,目前我国主要采取政府规制手段,但长期以来存在效力低下、多头监管混乱等问题,零供不公平交易问题仍未得到根本解决。行业自律作为政府规制的重要补充,能够有效规范零供交易、降低监管成本、预防零供冲突等。目前,以英国、澳大利亚、欧盟为代表的零售业发展较为成熟的发达国家高度重视维护零供公平交易,其政府不仅构建了较为完善的法律框架,而且支持、引导零供交易自律体系建设,形成了较为完善的零供交易自律体系,取得了良好效果,而我国零供交易自律体系却长期缺位,相关研究也处于空白状态。为推动形成政府规制与行业自律互补格局,可基于我国零供关系及规制现状,借鉴发达国家零供交易自律经验,构建我国零供交易自律体系。总体而言,应以各项法律规章等为依据和指导,发挥政府部门监管执法、政策指导、制度保障作用;应积极推动政府、零售商、供应商、行业协会充分协调沟通,共同制定零供交易自律准则,成立独立零供交易自律组织,形成政府支持引导、行业协会等第三方组织发挥自律管理主体作用、企业自律遵守的格局;应紧密配合政府部门,依托零供交易自律体系,构建零供投诉调查处理和冲突调解机制,形成严重违法行为依靠行政执法解决、一般零供纠纷通过自律体系解决的多层次模式。China’s brick-and-mortar retail are facing the challenges of transformation and upgrading,also the development of online retail has entered the stage of game among giants.Under this background,China’s supplier-retailer relationship has undergone new changes.The government has attached great importance to the role of supplier-retailer relationship in healthy development of retail industry,emphasizing the need to formulate the principles of fair trade and to support the improvement of new supplier-retailer relationship in many policies issued in recent years.Government regulation and industry self-discipline are two major approaches to regulate supplier-retailer transactions.At present,China mainly adopts the approach of government regulation.However,for a long time,there have been problems such as low effectiveness and multi-party regulatory confusion with this regulatory framework.As an important supplement to government regulation,industry self-discipline can regulate supplier-retailer transactions effectively,reducing regulatory costs and preventing supplier-retailer conflicts.Many developed countries including the United Kingdom,the European Union,and Australia have established self-discipline frameworks for supplier-retailer transactions.However,this framework has long been absent in China,and related research papers are also very limited.Based on analyzing the status of supplier-retailer relationship and regulation in China,the author summarizes the experiences of supplier-retailer transaction self-discipline in developed countries and raises suggestions for constructing China's supplier-retailer transaction self-discipline framework.The author believes that government should play the role as giving policy and legislation guidance and providing supervision in self-discipline framework.Under the guidance of laws and regulations and on the basis of coordination and communication,all parties should jointly formulate the self-discipline principle and establish self-discipline organization.Based on this self-
