摘　　要：本文在上市公司违规事件频发的背景下分析了当前我国上市公司治理存在的缺陷和不足,并创新性地提出建立以上市公司作为治理对象,证监会作为监管核心,券商和投资者作为辅助监管的"多位一体"股票市场综合治理体系,此体系能够从监管层、经营层、投资层综合考虑对上市公司的监管和治理,强调治理范围的全面性和综合性、治理过程的协同性和动态性及治理效果的根本性和长久性,进而减少违规事件的发生,为监管部门完善股票市场治理机制提供了借鉴和参考。This paper analyzes the shortcomings of the governance of listed companies in China in the context of the frequent occurrence of violations by listed companies,and innovatively proposes to establish a listed company as the object of governance.The CSRC serves as the core of supervision,and brokers and investors act as auxiliary supervision.The"multi-integrated"stock market comprehensive governance system,which can comprehensively consider the supervision and governance of listed companies from the regulatory,management and investment levels,emphasizing the comprehensiveness and comprehensiveness of the scope of governance,and the synergy of the governance process.Dynamic and the fundamental and long-term effects of governance,thereby reducing the occurrence of violations,and providing reference and reference for the regulatory authorities to improve the stock market governance mechanism.
