中英选择管辖协议效力及执行比较研究--基于轩辉国际物流有限公司与智利南美轮船有限公司三法域诉讼案的分析

摘　　要：轩辉国际物流有限公司与智利南美轮船有限公司因涉及75份提单的无单放货赔偿问题在中国、英国和中国香港特别行政区三法域的法院展开了争锋相对的诉讼,三法域诉讼全面展现了源于涉案提单中管辖条款的中国与英国管辖权的冲突以及英国对管辖条款执行的力度。对选择管辖协议的性质的不同认识,导致了中英两国在选择管辖协议的法律适用以及选择管辖协议的执行上的巨大差别。英国的经验对本国管辖权的保护更加全面,值得中国借鉴。在确定选择管辖协议的法律适用上,中国应考虑"协议"的实体性质,辅以强制性规定的直接适用。司法实践中,中国法院还应考虑对禁诉令采取对等措施,并允许当事人就违反中国管辖协议的行为提起违约损害赔偿诉讼,以保护其合法权益及维护中国的司法主权。Hin-pro International Logistics Ltd and Compania Sud Americana De Vapores SA took proceedings against each other in China,UK and Hong Kong SAR,because of the delivery of goods without production of 75 original bills of lading.The litigations in the three jurisdictions resulted from a jurisdiction clause in the bill of lading,fully displaying the conflict of jurisdictions and the enforcement of jurisdiction agreement.Differences in defining the nature of jurisdiction agreement led to the huge differences in the law applicable to the jurisdiction agreement and the enforcement of the agreement.The English experiences provide much better protection of its own jurisdiction,which we may borrow.In determining the law applicable to jurisdiction agreement,we should pay more attention on the substantive nature of the jurisdiction agreement,supplemented by the application of mandatory rules and the public policy.In judicial practice,Chinese courts shall take measures to protect their own jurisdictions against foreign anti-suit injunctions,parties shall be encouraged to claim for damages for breach of Chinese jurisdiction agreement for better protecting their legal rights and Chinese jurisdiction.
