摘 要:当前中央文件明确提出,在国有企业中要把加强党的领导和完善公司治理统一起来,国有企业应当在章程中体现党组织对于公司治理的参与。党组织参与国有企业公司治理,从合法性来看:其依据不仅在于《公司法》对党章的援引,还在于党章对党内法规及党内规范性文件的援引;从可行性来看:党组织内嵌到公司治理结构之中,在事项决策及人员任免两方面发挥作用。对央企旗下287家上市公司的章程进行实证研究,大部分公司章程已将党组织参与公司治理内容纳入其中并增设了党建专章,主要表现为党组织对于董事会事项决策的参与。在今后国有企业章程制定及修订的过程中,应进一步明确党组织参与公司治理的法定依据、法定地位、参与程度及参与程序。The current central document states that strengthening the Party leadership and improving corporate governance should be unified in the state-owned enterprises, and the enterprises should reflect the participation of Party organizations in corporate governance in their charters. From the perspective of legitimacy, it based not only on the quotes from the Party constitution in the corporate law, but also on that from the Party’s internal regulations, laws and normative documents. From the perspective of feasibility, embedded in the corporate governance structure, the Party organizations play a dual role in decision-making and staff appointment and dismissal. The empirical study on the charters of 287 listed companies affiliated to central enterprises finds that most of the charters have the content of the participation of Party organization in corporate governance, and add a special chapter of Party building, which mainly manifested in the Party organization’s participation in decision making on board matters. The article suggests that in the future formulating and revising the charters of state-owned enterprises, the statutory basis, legal status, participation level and the procedure of the Party organization’s participation in corporate governance should be further clarified.
