摘 要:“金融借贷+长租公寓”模式为金融市场与房屋租赁市场内在价值的结合,其本质为一种金融融资模式的创新。作为该融资模式核心参与者的房屋租赁中介公司,与出租人、承租人和第三方贷款平台之间因合同义务履行而产生代理问题,且中介公司由于其自身的信息优势和话语权,加之政府部门的缺位和监管制度的缺失等外在因素,使其极易对其他利益相关方实施机会主义行为,这也是这一融资模式重大法律风险的内在根源。为规制这一融资模式的法律风险,最大化其内在价值和外在意义,应以监管策略为主要手段,转变监管理念和措施,制定约束代理人的事前规则和事后标准,完善市场准入和退出等附属监管条件,以促进“金融借贷+长租公寓”生态链的建设。The model of long-term rental apartment is the combination of the intrinsic value of financial market and rental market.Its essence is the innovation of financing.Intermediary companies,as the core participants of chain,have the contract relationship with the lessor,lessee and the third party,and the most important thing is that there are agent problems among them.In addition,the intermediary companies have the information superiority.So,the lack of government policy makes it extremely easy for the Intermediary companies to conduct opportunism behavior,which is the inner cause of the legal risk of the rental apartments.In order to regulate the risk and maximize the value of the financing model and promote the development of the ecological chain of long-term rental apartment,it is suggested to use the regulatory strategies,change the regulatory concept,formulate prior rules and punishing rules to regulate the Intermediary companies and improve the existing market access regulation.
