对《电子商务法》第35条完善方案的思考——以韩国的相关立法、实践及理论为启示

摘　　要：近年来,大型电子商务平台逼迫入驻商家“二选一”、强制入驻商家参与促销活动等行为屡屡发生,在此背景下《电子商务法》第35条实施的意义重大。为了保障执法的可预测性和实效性,可以考虑制定实施办法,例示典型性不公平交易行为,并将相对优势地位与公平交易秩序危害性明确为第35条的审查要件。相对优势地位的存在与否可以持续性交易关系的存在与否和交易相对方的依赖程度为认定基准。而行为是否会危害公平的交易秩序则需要综合考虑行为的目的与效果,商品的特性,交易的具体情况,行为人在市场中地位的优越程度,交易相对方所遭受损害的内容和程度,以及行为是否违背正常的交易惯例等方面来进行判断。In recent years,large-scale e-commerce platforms have repeatedly forced businesses to choose one from the other and forced them to participate in promotional activities.Under this background,the implementation of Article 35 of the E-commerce Law is of great significance.In order to ensure the predictability and effectiveness of law enforcement,we can consider to formulate implementation measures,exemplify typical unfair trading behavior,and make the comparative advantage and the harm of fair trading order clear as the review elements of Article 35.Whether the existence of the comparative advantage position can sustain the existence of the transaction relationship and the degree of dependence of the counterparty are the criteria.The purpose and effect of the behavior,the characteristics of the commodity,the specific situation of the transaction,the superiority of the actor in the market,the content and extent of the damage suffered by the opposite party of the transaction,and whether the behavior violates the normal trading practice should be considered comprehensively to judge whether the behavior will harm the fair trading order.
