摘　　要：近年来冒用身份信息虚假工商登记案件频发,一些受害人莫名其妙“被法人”、“被老板”,其名下注册公司多还存在税务和债务问题。出现此类问题主要是由公司登记采用形式审查、审管分离导致权力运行不畅、信息保护制度不完善、代理行业混乱等原因所致。为解决已发生的虚假登记问题并防范类似问题发生,从“治理”和“防范”两个角度提出处理措施,主要涉及建立撤销错误登记的快捷机制,确立工商登记的审慎合理审查标准,完善行政审批局管理体制,完善个人信息保护的立法,优化身份证信息管理制度,规范登记代理行为严格追究责任等。In recent years,cases of fraudulent use of identity information for false industrial and commercial registration have occurred frequently.Some victims are inexplicably“legal person”and“boss”,and most of the registered companies under their names still have tax and debt problems.Such problems are mainly caused by the use of formal review of company registration,separation of audit and management,resulting in poor operation of power,imperfect information protection system,confusion in the agency industry and other reasons.In order to solve the problem of false registration and prevent the occurrence of similar problems,the authors put forward some measures from the perspectives of“governance”and“prevention”,which mainly involve the establishment of a quick mechanism for canceling false registration,the establishment of a prudent and reasonable examination standard for industrial and commercial registration,the improvement of the management system of the Administrative Examination and Approval Bureau,the improvement of the legislation for the protection of personal information,the optimization of the identity card information management system and the standardization of the act of registration agency,and strictly investigating the responsibility.
