摘　　要：重构农村集体经济组织是为激发其内生发展动力,使其成为更适应新时代市场经济发展的市场主体。当前对农村集体经济组织的职能、定位及今后改革的方向存在较多争论,有必要多角度地再进行厘清。从职能、代行权的弊端及人员构成等方面分析农村集体经济组织与村委会的关系;从产权关系、规范化管理及要素资源的激活等方面探讨农村集体经济组织适宜的内部治理机制。认为农村集体经济组织应进一步弱化及限制其公共及公益职能,集体经济组织与村委会应相互独立;应通过股份制改革强化集体成员的参与激励,并激活各要素资源;应建立收益分享、内部控制等制度的构建激励及约束管理层,在激发管理层干事创业热情的同时又防止内部人控制问题的扩大。Reconstructing rural collective economic organization is for stimulating its endogenous development power,and enable it to be the main market body more suitable for the development of the market economy of the new era.At present,there are more arguments about the function,location and future reform of the rural collective economic organizations,and it is necessary to make a clear change from multiple angles.The relationship between the rural collective economic organization and the village committee is analyzed from the aspects of function,abuse of the act and the personnel composition,and the appropriate internal governance mechanism of the rural collective economic organization is discussed from the aspects of the relationships among the property right,standardization management and the activation of the element resources.The rural collective economic organizations should further weaken and limit their public and public welfare functions,and the collective economic organizations and the village committees should be independent of each other;the participation of the collective members should be strengthened through joint-stock reform,and the resources of each element should be activated;it is necessary to establish institutional incentives and constraints on management,such as income sharing and internal control.The expansion of internal control issues is also prevented while the management officer’s entrepreneurial enthusiasm is activated.
