摘  要:司法解释已确认董事被无因解任时获得经济补偿的权利。法院裁量经济补偿时,不能机械地依照法律或章程中的规定,还需要考虑董事报酬、业绩等其他事项,具体标准不宜定得过高,还应辨别和剔除董事违法行为等因素。Judicial interpretation has confirmed the right of directors to receive economic compensation when they are removed without cause.When the court considers and decides the economic compensation,the court should not mechanically follow the provisions of the law or the articles of association,but also consider other matters such as directors'remuneration,performance and so on.The specific standard should not be set too high,and factors such as illegal acts of directors should be identified and eliminated.
