摘　　要：PPP股权流转在帮助解决项目融资问题、提高项目实施效率等方面有重要的作用,并能有效地从财政投融资机制创新角度助推国家治理现代化。基于效率视角,本文从项目公司、投资者、行业与市场角度分析PPP项目股权流转机制对提升项目运作效率、实现PPP价值目标方面的功能,阐明当前我国发展PPP项目投融资模式下构建股权流转体系的必要性及其运行逻辑。在此基础上,从信息交互机制、股权估值基础理性共识、股权资本供给规模、监管与自律等方面分析我国PPP股权流转体系运行面临的主要障碍,并提出应对建议。PPP equity transfer plays an important role in helping to solve project financing problems and improving project implementation efficiency, and can effectively promote the modernization of national governance from the perspective of financial investment and financing mechanism innovation. From the perspective of efficiency,this article analyzes the function of PPP project equity transfer mechanism in improving project operation efficiency and achieving PPP value objectives from the perspectives of project companies, investors, industries and markets, and clarifies the construction of an equity transfer system under the current investment and financing model of PPP projects in China The necessity of and its operating logic. On this basis, it analyzes the main obstacles to the operation of my country’s PPP equity transfer system from the aspects of information interaction mechanism, rational consensus on equity valuation basis, equity capital supply scale, supervision and self-discipline, and proposes countermeasures.
