摘　　要：内部化理论是20世纪以来国际直接投资理论中的关键性理论,是解释跨国公司的形成与其国际直接投资行为的良好工具。通过追溯内部化理论的起源,明确其概念特征,理清其发展脉络,发现其优势所在,指出其存在的局限性,更深入地从理论上认识跨国公司组织形式和国际商务环境的变化,更好地了解在内部化理论基础上提出的种种新的国际直接投资理论,最终达到指出内部化理论的研究方向,指导跨国公司国际直接投资行为的目的。Internalization theory is the key theory in international direct investment theory since the 20 th century,and it is a good tool to explain the formation of transnational corporations and their international direct investment behavior.By tracing back the origin of the theory of internalization,clarifying its conceptual characteristics,clarifying its development context,finding its advantages,pointing out its limitations,more in-depth understanding of the changes in the organizational form of transnational corporations and the international business environment,better understanding of the various new theories of international direct investment based on the theory of internalization,and finally reaching the goal of pointing out the research direction of internalization theory and guiding the international direct investment behavior of transnational corporations.
