公司治理中的控股股东及其法律规制

摘　　要：中国公司治理的主要矛盾是控股股东与中小股东之间的矛盾。现行公司治理制度的重大缺陷是公司治理的法定主体与实际主体严重脱节,未将控股股东作为公司治理主体并忽略和放弃对其相应的法律规制。公司治理的重要方向和出路是建构以控股股东为核心的治理结构和机制,应顺应公司控股的股权结构和治理态势,围绕控股股东控制权的行使建构科学、合理、系统的法律规则,使其依法掌权行权,充分利用和发挥控股股东在公司治理中独特的积极作用。公司治理的核心问题首先是遏制控制权的滥用,同时亦应合理引导和规范控制权的行使,由控股股东代行股东会职权的职权代行机制是创新公司治理制度、规范控制权行使的重要方式。The main contradiction in the corporate governance in China is the contradiction between controlling shareholders and minority shareholders.The major defects in the current corporate governance system in China include the serious disconnection between the legal subjects and actual subjects of corporate governance and the failure to bring controlling shareholders into the scope of corporate governance and the failure to impose corresponding legal regulations on them.This paper proposes that an important direction of corporate governance in China is to build a governance structure and mechanism with the controlling shareholders as the core,conform to the actual equity structure and corporate governance practice,design scientific,reasonable and systematic legal rules on the exercise of controlling power by controlling shareholders to ensure the lawful exercise of such power,and give full play to the unique positive role of controlling shareholders in corporate governance.The first and foremost purpose of corporate governance is to curb the abuse of the controlling power by the controlling shareholders,while at the same time reasonably guide and regulate the exercise of such power.The authority representation mechanism proposed in this paper in which the controlling shareholder is entitled to solely exercise the power of shareholders’meeting is an important way to innovate Chinese corporate governance system and regulate the exercise of controlling power.
