破产企业档案的规范化管理和利用机制探析

摘　　要：债务人企业破产程序终结并注销主体资格后,对于企业正常生产经营及破产程序中产生档案的归属及保管问题,尚缺乏明确的指导规范,而该类材料记录了企业"由生到死"的全过程,是宝贵的文献资料,反映了特定时期的经济状况,也是其他企业经营管理的前车之鉴。破产程序终结后,管理人保管档案的职责终止,鉴于破产企业档案的社会公共价值,国家应承担保管职责,建议由各级档案行政管理部门发挥统筹协调作用,委托第三方档案保管机构保存和管理档案,从档案管理基金支付报酬,由第三方档案保管机构介入破产程序的全过程,发挥独立的指导和监督的作用,并在破产程序终结后全面接收企业破产案件的档案。Many documents are produced during the operation of enterprises,and these materials are valuable literatures which record the whole process of the enterprise and reflect the particular period of economy.After termination of bankruptcy proceedings and the cancellation of qualification,however,the archives are poorly managed with no clear guidelines.This paper analyzes the management responsibilities of the archive administration departments at all levels,and they can entrust a third party to preserve and manage archives.Also,we should form funds to pay remuneration to the third party who are involved in the whole process of bankruptcy proceedings and receive comprehensive files after the termination of bankruptcy proceedings.The archives administration departments play the role of the independent guidance and supervision.
