摘　　要：近年来,部分上市公司市值管理模式走入操纵股价和利益输送的误区,抑制了国家层面和企业层面的市值管理规范性指引文件出台。论文在研究上市公司现有市值管理相关法律法规的基础上,提出针对市值管理的自治性规制举措,对规制国内资本市场市值管理行为提供框架参考与实践指导。In recent years,the market value management mode of some listed companies has entered the mistaken area of manipulating stock prices and interest transmission,which has restrained the delay in issuing autonomous guidance documents for market value management at the national and enterprise levels.Therefore,on the basis of studying the existing laws and regulations of market value management of listed companies,this paper puts forward the autonomous regulation guidelines for market value management,and provides a framework reference and practical guidance for regulating the market value management behavior of domestic capital market.
