受让方不具有资质的矿业权转让合同效力认定之探究

摘　　要：对于受让方不具有资质的矿业权转让合同的效力,司法实践中主要有合同成立未生效、合同无效两种不同的观点。究其原因,要么忽略了《矿产资源法》第3条以及《探矿权采矿权转让管理办法》第7条有关“矿业权受让人资质条件”之规定的适用,要么对该法律、行政法规有关“矿业权受让人资质条件”之规定的规范性质认识不一。由于该法律、行政法规有关“矿业权受让人资质条件”之强制性规定的立法目的在于维护国家利益和社会公共利益,故应将该强制性规定识别为“效力性强制规定”。矿业权受让方不具有资质的,转让合同因违反该效力性强制规定,根据《合同法》第52条第(五)项的规定,应认定为无效。As for the validity of the mining right transfer contract for those transferees with no qualification,there are mainly two different viewpoints in judicial practice:the contract was established but did not take effect and the contract is invalid.The reason lies in either ignoring the application of article 3 in Mineral Resources Law of the People’s Republic of China and“qualification conditions of mining right transferee”stipulated in article 7 of Measures for the Administration of Transfer of Mineral Exploration Right and Mining Right,or having different understanding of the normative nature of the“qualification conditions of mining right transferee”stipulated in the law and related administrative regulations.Since the legislative purpose of the mandatory provisions of the law and administrative regulations on“qualification conditions for the transferee of mining rights”is to safeguard the interests of the nation and the public,the mandatory provisions should be identified as“effective mandatory provisions”.If the transferee of the mining right does not have the qualification,the transfer contract shall be deemed invalid due to violation of the mandatory provisions on the validity,according to the provisions of Item(5)of Article 52 of Contract Law of the People’s Republic of China.
