河南省僵尸企业破产清算法律问题研究

摘　　要：通过破产清算程序对僵尸企业进行治理出清是处置僵尸企业的主要方式。为充分释放破产法对僵尸企业的作用,提升处置实效,从解决当前问题看,需要从程序的理性选择、职工的妥善安置、债权的公平清偿、破产处置各主体的职责划分、府院联动机制的构建、管理人履职效能的提升及矛盾的有效化解等方面着手。从僵尸企业破产处置的长效机制考虑,应从破产理念的转变、破产程序启动前的预重整、庭外和解制度的完善、破产申请主体范围的扩充、金融机构破产制度的建立、破产处置的协同机制等方面进行制度设计和安排。The main way to deal with Zombie enterprises is to clear the Zombie enterprises through the bankruptcy liquidation procedure.In order to fully release the effect of bankruptcy law on Zombie enterprises and enhance the effectiveness of its disposal,it is necessary to take measures in consideration of solving current cases.To maximize the benefits of bankruptcy laws,the measures should be implemented,which include rational choice of liquidation procedure,appropriate arrangement for former employees,fairness in paying off creditor’s rights,segregation of duties of main liquidation bodies,the construction of linkage mechanism of government and court,as well as improvement of managers’performance and efficient resolution of conflicts.Considering the long-term mechanism of Zombie Enterprise’s bankruptcy disposal,more aspects should be focused on,which include change of bankruptcy idea,pretreatment of bankruptcy liquidation,perfection of out-of-court settlement,expansion of the range of liquidation bodies,establishment of bankruptcy system of financial institutions and a cooperative mechanism of bankruptcy disposal.
