摘  要:公司高级管理人员的劳动权利在劳动法、公司法上存在法律认定冲突,亟待优化法律调整。辨析公司总经理、副总经理等类型高管群体的实际职权,其不具备传统劳动法理论上劳动者的从属性,不适合劳动法调整。基于法律经济学的公司冲突权利有效配置理论,以市场机制、产权和交易成本、合约选择为切入点,公司高管的劳动权利配置应尊重市场机制,通过法律清晰界定权利,重视合约的结构性选择,以实现私法自治和降低交易成本,而且没有理由认为法律管制是必要的。故我国公司高管劳动权利有效配置可秉承“劳动法反面排除+公司法正面调整”的总方向,在劳动法与公司法上革故鼎新,理性回应社会现实和现代法治改革。The labor rights of the company′s senior managing officer are in conflict with the labor law and the company law,it is urgent to optimize the legal adjustment.Distinguishing and analyzing the actual authority of the general manager,deputy general manager and other types of senior management groups of company,it makes clear that the senior managing officer of company does not have the labor subordination of ordinary worker in the traditional labor law theory,and is not suitable for the legal regulation of labor law.Based on the theory of the effective allocation of conflicting rights in company originated from R.H.Coase′s perspective on law and economics,starting from the use of market mechanism,property rights and transaction costs,and contract selection,it shows that the allocation of labor rights of the senior managing officer in company should respect the market mechanism,clearly define rights through laws,and attach importance to the structural choice of contracts,so as to realize the autonomy of private law and reduce transaction costs.Moreover,there is no reason to believe that legal compulsion is necessary.Therefore,the effective allocation of labor rights for the senior managing officer in company of China should be guided by the general direction of“negative exclusion of labor law+positive adjustment of company law”,and reform and innovate in labor law and company law,rationally responding to social reality and modern legal reform.
