摘 要:福建泉州刺桐大桥、广深高速公路项目脱胎于相同的时代背景,经历了相似的经营机遇与挑战,但前者以政府提前回购而宣告了PPP模式的失败,后者表现出了持续的经营能力。本文采用案例研究法,研究了两个项目不同结局出现的原因、机制。研究发现,和广深高速公路相比,刺桐大桥项目的初始协议粗糙简单,不仅没有为合同再调整创造有利条件,还使后续谈判失去保障和基础。进一步研究发现,刚性合同条款并不能应对PPP项目经营期出现的各类风险;而特许期限、通行费率、服务供给、利益分配、政府信用等方面的柔性设计及其落实,提高了PPP项目的风险应对能力,决定了PPP模式运营的成败。The Citong Bridge and Guangshen Expressway projects in Quanzhou,Fujian were born out of the same era background and experienced similar business opportunities and challenges.However,the former declared the failure of the PPP mode through government repurchase in advance,while the latter demonstrated the ability to sustainably operate.This paper uses a case study method to study the reasons and mechanisms of the different outcomes of the two projects.The study finds that compared with the Guangshen Expressway,the initial agreement of the Citong Bridge project was rough and simple,not only did not create favorable conditions for contract readjustment,but also made the subsequent negotiations lose the guarantee and foundation.Further research finds that rigid contract clauses cannot cope with various risks during the operation period of PPP projects;while the flexible design and implementation of concession period,toll rate,service supply,benefit distribution,government credit and other aspects have improved the risk response ability of PPP projects and determined the success or failure of PPP mode operation.
