摘　　要：基于案例研究方法,围绕汉能控股集团的4次海外技术并购,研究了其从2012年至今的重大企业创新转型的案例,探索性分析了中国民营企业在转型发展过程中通过海外并购实现建立自主创新能力的过程。通过总结汉能控股集团海外技术并购的全过程,剖析了汉能控股集团董事局主席李河君通过“聚能型创新”模式,结合企业组织能力深入阐述其实现创新转型与企业价值创造的路径,构建了中国民营企业海外并购价值创造的实践路径模型,揭示了聚能型创新的不同维度在企业海外并购不同阶段提升企业组织能力、实现技术转型升级过程中起到的作用。This paper adoptsexploratory case study methods,focusing on four overseas technology mergers and acquisitions of Hanergy Holding Group from 2014 to the present.The study sums up the whole process of overseas technology mergers and acquisitions,analyzes its chairman’s“integrated innovation”ideas,combining organizational capability to expound its innovation and the enterprise value creation path and developing the Chinese private enterprises overseas mergers and acquisitions practice path model of value creation.Furthermore,this study reveals different dimensions of“integrated innovation”in different stages of enterprise acquisitions overseas through influencing organizational capability and contributes to the innovation theory research,the practice of mergers and acquisitions and provides guidance for Chinese private enterprises.
