摘　　要：通过这起有限公司股权转让合同撤销纠纷的案例分析,可以得到四点启示:一是股权转让合同具有合同和组织双重特征,股权转让合同纠纷受《合同法》和《公司法》双重规制;二是股权价值包含客观价值和主观价值等比较复杂的内容;三是处理股权转让合同纠纷应具有商事思维;四是应审慎对待当事人要求股权转让合同撤销的诉讼请求。Through the case analysis of cancellation dispute of the equity transfer contract of a limited company,at least four points can be learned:Firstly,the equity transfer contract has dual characteristics of contract and organization,and the cancellation dispute of the equity transfer contract is subject to dual regulation by contract law and company law.Secondly,equity value contains more complex content such as objective value and subjective value.Thirdly,it is necessary to have commercial sense to deal with the dispute of equity transfer contracts.Fourthly,we should treat the litigant request of transferring contract to cancel the lawsuit request prudently.
