摘　　要：法人授权委托源于民事代理制度,又有别于一般的民事代理,本质上属于职务代理。公司法人授权委托管理是完善公司法人治理结构、规范公司运营管理的重要环节之一。为规范公司员工代理行为,保障公司合法权益,有效防范法律风险,进一步提升交易安全,加强公司法人授权委托管理成为必要。主要从公司法人授权委托管理基本制度的设计和加强合同事务授权委托管理两个方面,结合管理实践,对公司法人授权委托管理方式进行阐释和经验介绍,旨在为公司法人授权委托管理实务提供业务参考。Legal person authorization is derived from the system of civil agency,but it's different from general civil agency.In essence,it belongs to duty agency.The authorization management of the corporation is one of the important links to perfect corporate governance structure and standardize corporate operation and management.To standardize the agent behavior of employees,protect the corporate rights and interests,guard against legal risks and promote transaction security,it’s necessary to strengthen the authorization management of the corporation.Combining management experience,this article expounds the way to manage the legal person authorization from basic system design and authorization management of contract,with the purpose of providing reference to practice.
