论我国《商事登记法》的制定与体例——附:《中华人民共和国商事登记法》(学者建议稿)

摘　　要：鉴于我国现有商事登记立法仍然没有摆脱附属于商事主体法,停留于一事一法或一类一法的分别立法状态,即被分散规定在不同效力等级、不同规范形式、不同适用对象的立法文本中,因之,统一商事登记立法已是一项十分紧迫的立法任务和现实课题。比较分析延续分散立法模式、大《民法典》模式、《商法典》模式、《商法通则》模式、统一单行法模式等统一商事登记立法的不同学说、主张和方案,基于不同类别、类型、对象、性质、事项的商事登记所具有的同一特征或同质属性,决定了统一、单行的《商事登记法》应是最具可行性、操作性的立法方案。我国未来统一《商事登记法》,应选择国家立法、独立立法、统一立法、人大立法的法律形式,其内容可确定为总则、登记对象与范围、登记主管与管辖、登记类型、登记程序、登记事项与信息公示、登记档案与证照管理、争诉与救济、罚则、附则等十大部分。In view of dilemmas such as that existing legislation about commercial registration has been not yet gotten out of the difficulties attached to the commercial subject law,stayed in the separate legislation condition of one matter one law or one kind one law,and stipulated in the legislative texts with different effectiveness levels,different norm forms and different applicable objects in China;therefore,it is an urgent legislative task and practical issue to unify the legislation about commercial registration in China.The unified and single Commercial Registration Law should be the most feasible and operational legislative scheme by comparing and analyzing the different theories,propositions and plans such as the model of continuing decentralized legislation,civil code,commercial code,general principles of commercial law,or unified single law;and being based on the same characteristics or homogeneous attributes of different categories,types,objects,natures and items in commercial registration.In order to unify the commercial registration law in the future,we should choose the legal forms of national legislation,independent legislation,unified legislation and the legislation of the people's Congress;and its content could be defined as 10 parts:general provisions,registration objects and scope,registration supervisor and jurisdiction,registration type,registration procedure,registration items and information disclosure,registration files and license management,dispute and relief,penal clause and supplementary articles.
