摘　　要：中美贸易战实质是知识产权战、科技战,强制技术转让问题正成为这场知识产权战役的前沿阵地。所谓强制技术转让,是指责中方诱迫外方转让其技术给中方企业的不公平和歧视性法律、政策乃至与商业策略融合的全过程。强制技术转让是一个不确定的开放概念,随着国际经贸形势的变化而不断发展。就法律层面而言,强制技术转让包含国际经济法、反垄断法、行政许可法等方面的内容,而反垄断法规制技术转让合同中限制性条款的内容又是其中的重中之重。颁布外商投资法、修改技术进出口管理条例等法规,基本满足了中美经贸协议有关强制技术转让方面的诉求,但更艰巨的任务是相关反垄断法的适用。既要符合中美经贸协议,也要依据国际准则和惯例,以切实维护我国国家利益。The essence of the Trade war between China and the United States is the war of intellectual property rights and the war of science and technology.The issue of compulsory technology transfer is becoming the forefront of the battle of intellectual property rights.The so-called compulsory technology transfer refers to the whole process of accusing China of inducing foreign companies to transfer their technologies to Chinese companies through unfair and discriminatory laws,policies,and even integration with commercial strategies.Compulsory technology transfer develops continuously with the changes in the international economic and trade situations.On the legal level,compulsory technology transfer involves international economic law,anti-monopoly law,administrative licensing law and other aspects,and the anti-monopoly law is the most important to deal with the restrictive clauses in technology transfer contracts.The promulgation of the Law on Foreign Investment and the revision of regulations on the administration of technology import and export,in some sense,may meet the demands of the China-Us economic and trade agreement on compulsory technology transfer,but the more difficult task is the application of the anti-monopoly law.It should not only conform to the economic and trade agreements between China and the US,but also follow international norms and practices so as to effectively safeguard national interests.
