摘 要:股东之间的信任是公司人合性的内涵,人合性是有限责任公司的本质属性。不同国家和地区的有限责任公司(封闭公司/私人公司)权力配置均不同程度地彰显了人合性,体现出诸多共性。在全球致力于改善营商环境的背景下,可以借鉴其他国家和地区的经验,完善我国有限责任公司权力配置。我国公司法应更加关注有限责任公司的人合性,通过设置具有可操作性内容的选择性条款而不是简单的“另有规定”方式,适度简化有限责任公司组织机构,赋予公司章程以股东会和董事会职权划分的权限,明确剩余权力归属以及股东会代行董事会职权的特定情形。Shareholders’mutual trust is the connotation of human joining,and human joining is the essential attribute of limited liability company.The power allocations of limited liability company(close corporation/private company)in different countries and regions manifest the human joining to different extent and reflect a number of commonalities.Under the background of global efforts to enhance the business environment,we can learn from others to improve the power allocation of limited liability company in China.Our company law should,with more focus on the human joining of limited liability company,set up selective clauses with operable contents instead of simple“other provisions”to simplify the structure of limited liability company,entitle a company to divide powers between board of shareholders and board of directors by its articles of association and clearly define the ownership of residual powers and the specific circumstances under which the board of shareholders acts on behalf of the board of directors.
