摘　　要：公立医院临床实验室PPP项目作为新医改背景下的新鲜事物,实践中仍存在一些问题。本文基于交易成本和治理现代化的分析框架聚焦公立医院临床实验室PPP项目的交易困境,发现此类项目存在相关概念不清、交易主体角色不清、股权边界不清等困境,究其深层原因是治理理念、治理方式、治理网络的不足。因此,有必要加强PPP模式的类型识别、运行机制研究和股权建设;平衡公私冲突,秉持互利共赢;规范合同内容,完善相关法律框架;探索政府角色分离机制,构建合作治理网络,全面提升我国政府PPP治理能力。As a new thing under the background of new medical reform,PPP projects in clinical laboratory of public hospitals still have some problems in practice.Based on the analysis framework of transaction cost and governance modernization,this paper focuses on the transaction difficulties of PPP projects in clinical laboratory of public hospitals.It is found that such projects have general dilemmas such as unclear related concepts,unclear roles of transaction subjects,and unclear equity boundaries.Some deep reasons behind those transaction dilemmas include the deficiency of governance concept,governance mode and governance network.Therefore,it is necessary to strengthen the type identification,operation mechanism research and equity construction of PPP models;balance public-private conflicts and uphold the principle of mutual benefit;standardize the contract content and improve the relevant legal framework;explore the mechanism of government role separation,build a cooperative governance network and comprehensively enhance the government’s governance capacity of PPP projects.
