摘  要:相对于《物权法》第191条,《民法典》第406条重塑了抵押物转让的规则。但是,抵押物自由转让与抵押权的追及效力,应仅针对不动产抵押。动产抵押应适用第403条、第404条等规范。第406条第1款中“当事人另有约定的,按照其约定”不具有登记能力,仅应在抵押合同当事人间产生债的效力,不影响抵押物转让的效力。在抵押物的追及效力引发的受让人保护方面,可以衔接出卖人瑕疵担保义务以及有利害关系第三人代偿权的规范。Compared with Article 191 of the“Property Law”,Article 406 of the“Civil Code”reshapes the rules for mortgaged property transfer.While the free transfer of the mortgaged property and the follow-up effect of mortgage should only be aimed at real estate mortgage.Movable mortgages shall be subject to Article 403,Article 404 and other regulations.Article 406,paragraph 1,“If it is otherwise agreed upon by the parties,their agreement shall prevail”,does not have the ability to register,and shall only have the effect of generating debts between the parties,without affecting the effectiveness of the mortgaged property transfer.Regarding the protection of the transferee caused by the effect of the collateral,it can be connected with the seller s defect guarantee obligation and the norms of the third party s right of compensation.
