摘 要:商业秘密作为信息时代企业最具价值的资产之一,决定了现代企业核心市场竞争力及可持续发展能力。但目前我国商业秘密保护仍严重滞后于企业创新发展水平,尤其对于商业秘密即发侵权行为救济不足,极大限制了知识经济持续增长。美国司法实践中形成的不可避免披露原则确可为我国商业秘密保护体系的完善提供有益启发。梳理不可避免披露历史溯源及派系分立,综合评价纯粹不可避免披露与折衷不可避免披露利弊,汲取硅谷信息共享模式经验,启示我国制度设计应更谨慎周严,将离职雇员主观心态纳入商业秘密不可避免披露构成要件,优先保护离职雇员个人生计及择业自由。As one of the most valuable assets of enterprises in the inform ation age,trade secrets determine the core market competitiveness and sustainable devel opment ability of modern enterprises.However,the protection level of trade secrets in China still lags behind the innovation and development of enterprises,especially the lack of relief for the immediate infringement of trade secrets,which greatly limits the sustainable growth of the knowledge economy.The inevitable disclosure principle formed in the United States judicial practice can provide useful inspiration for the perfection of our country's trade secret protection system.After combing the history and dif ferentiated opinions on inevitable disclosure system,comprehensively evaluating the pros and cons of the pure and in-between inevitable disclosure system,drawing on the experience of Silicon Valley’s information sharing model,this paper concludes that our country’s inevitable disclosure system design should be more cautious and strictly include the subjective mentality of leaving employees and put the personal livelihood and freedom of choice of employees at priority.
