营业执照制度的实践检视与法理分析——以工商登记制度改革为背景

摘　　要：随着工商登记制度改革的不断深入,营业执照先天的制度性缺陷进一步凸显,性质和功能定位不清,相关理论无法自圆其说,信息公示功能日渐式微,作为主体资格和经营资格的证明文件在学理上矛盾重重。毫无疑问,营业执照产生的时代背景和价值理念已经渐行渐远,在市场经济不断深入和有限政府理念不断深化的今天,营业执照的价值和功能定位由于该制度先天不足及后天异化已经无法在理论上给出符合逻辑的圆满的解释,也无法消解营业执照在实践中所衍生的制度性问题。对营业执照制度存在的问题进行梳理和反思,有助于我国商事登记制度改革进一步深入。With the deepening of the reform of business registration system,the inherent institutional defects of business license have become more prominent,the nature and function of business license are unclear,relevant theories about business license cannot be consistent,and the function of information disclosure is gradually declining. As the proof of subject qualification and business qualification,there are numerous academic and theoretical contradictions. There is no doubt that the background and value concept of the business license has been drifting away,with the deepening of market economy and the concept of limited government,the value and functional positioning of the business license can no longer be used due to the inherent deficiencies and acquired alienation of the system,it also cannot eliminate the institutional issues of business license in practice. To sort out and reflect on the problems existing in the business license system is helpful for the further reform of China’s business registration system.
