从不完全契约路径融通知识产权保护与协同创新

摘　　要：企业间进行知识产权保护和协同创新存在理论和实践的双重冲突与矛盾,其实质在于:协同创新中参与主体的有限理性、交易成本的存在和信息不对称,导致作为治理核心和法律核心的契约在企业协同创新以及相关知识产权保护中具有明显的局限性。动态知识产权保护策略下协同创新模式具有明显的差异性,完善不完全契约自我履约机制和第三方履约机制是解决知识产权保护和协同创新之间悖论的有效途径。不完全契约自我履约机制方面,应关注显性契约全要素、激发创新活力;应重视隐性契约、促进协同创新可持续发展。不完全契约第三方履约机制方面,应完善《专利法》、化解知识产权保护与共享冲突,同时赋予协同创新主体以更明确的法律地位和再协商权等。There are both theoretical and practical conflicts and contradictions in intellectual property protection and collaborative innovation among enterprises,the essence of which lies in the limited rationality of participants in collaborative innovation,the existence of transaction costs,and information asymmetry,all of which result in the obvious limitations of the contract as the core of governance and legal core in collaborative innovation and related intellectual property protection of enterprises.The paradox between IPR protection and collaborative innovation can be effectively resolved by improving the mechanism of the incomplete contractual self-consummation and third-party compliance.As for the mechanism of incomplete contractual self-consummation,it should pay attention to all the elements of the explicit contract to stimulate innovation vitality;it should pay attention to the implicit contract to promote the sustainable development of collaborative innovation.As for the third-party compliance mechanism for incomplete contracts,the Patent Law should be improved,the conflict between IP protection and sharing should be resolved,and the subjects of collaborative innovation should be given a clearer legal status and the right of renegotiation.
