摘　　要：托管运营是国家推行第三方治理的一种形式,但是在托管过程中存在双方信息不对称、权利义务不明确、契约的不完全性、技术储备不够、企业自身能力不足及人性的自利等问题,给托管运营带来风险。本研究从商业谈判、技术、管理三个方面对所识别的主要风险进行分析讨论,分别从责权约束、积极沟通、项目选择识别、技术储备和内外部管理的层面提出有效实施风险对策的措施和方法,从而防范托管运营的风险。Trusteeship operation is a form of third-party governance promoted by the state.However,in the process of trusteeship,there are some problems,such as asymmetric information between the two parties,unclear rights and obligations,incomplete contracts,insufficient technical reserves,insufficient enterprises'own capabilities and self-interest in human nature,which bring risks to trusteeship operation.This paper analyzed and discussed the main risks identified from three aspects:commercial negotiation,technology and management,and put forward measures and methods to effectively implement risk countermeasures from the aspects of responsibility and right restriction,active communication,project selection identification,technology reserve and internal and external management,so as to prevent the risks of trusteeship operation.
