数字时代版权合同中未知使用方式问题研究:不完全契约理论的视角

摘　　要：数字开发日益成为作品的新的利用形式,签订版权交易合同的双方当事人在签订合同之时通常无法预料到版权作品利用的未知使用方式问题,作者没有适当的机制参与到新形式的利用和获酬之中,可能导致版权人与传播者利益的失衡。原有的合同需要适应新技术的发展而发生改变,或者当未知的数字利用方式已经包含进原有的合同之中,应当认定未知使用方式授权合同的有效性,对于没有规定未知使用方式的合同,除非在合同存续阶段出现的未知使用方式不能被合同中所授权的版权法定权利所涵盖,否则无需重新协商新的授权合同,但应当在版权法中引入作者变更合同的权利,使得版权人在享有不成比例的收益时,有权要求修改合同约定的报酬,保障版权人公平地参与到作品的数字化开发之中。Digital development has increasingly become a new kind of usage of works.Both parties that sign the copyright contract are generally unable to anticipate the unknown usage mode of copyrighted works when the contract is signed.As a result,there is not an appropriate mechanism for the author to participate in the new modes of exploitation and rewarding,which might result in the imbalance between the copyright owners and the disseminators.The original contract needs to adapt to the development of new technology,and the unknown digital usage has already been included in the original contract,so the effectiveness of the contract authorized by the unknown usage mode shall be affirmed.As for those contracts that have no rules for the unknown usage mode,it is not necessary to re-negotiate the new authorized contract unless the unknown usage mode occurring in the term of contract could not be covered by the copyrighted legal right authorized by the contract.However,it is necessary to introduce the author's right to change the contract into the copyright law so that the copyright owner could have the right to amend the remuneration as agreed in the contract when the copyright owner has a disproportionate share of the gains so as to ensure that copyright owners could fairly participate in the digital development of works.
