摘　　要：Neuromed案是发生在一家德国公司和一家美国公司之间的买卖合同纠纷,争议的焦点是风险转移。纽约南部联邦地区法院在审理中对《联合国国际货物销售合同公约》和国际商会《国际贸易术语解释通则》的适用以及两者之间的相互关系进行了解释和推理。这些推理和解释对于管窥美国、德国对相关国际公约和惯例的适用条件和适用顺位颇有裨益,也为我国处理同类争议提供了参考。Neuromed case is a contract dispute between a German company and an American company,the focus of which is risk transfer.In the trial,the federal court of the Southern District of New York interpreted and reasoned on the application of the United Nations Convention on Contracts for the International Sale of Goods and Incoterms by the International Chamber of Commerce,as well as the relationship between them.These reasoning and interpretation are helpful for us to see the application conditions and order of the convention and usage in the United States and Germany,and also provide a reference for China to deal with similar disputes.
