论双边投资协定中的保护伞条款及其合理使用

摘　　要：保护伞条款自诞生以来已经历半个多世纪,该条款的适用却一直是个争论不休的问题。但毋庸置疑的是,保护伞条款在双边投资协定中将扮演愈加重要的角色。保护伞条款的产生与发展与世界经济形势的变化密不可分,并在双边投资协定的国际实践中出现效力不明的情形。探寻保护伞条款出现解释分歧的缘由,并对新近典型案例中出现的保护伞条款效力跨协定延伸所产生的影响进行分析,从而为我国在中外投资协定中优化保护伞条款提供有益的策略,以更好保护我国投资者的实体权利。The umbrella clause has been in existence for more than half a century since its birth,while the ap⁃plication of the clause is always a contentious issue.But It is indisputable that the umbrella clause will play an in⁃creasingly important role in bilateral investment treaties.The emergence and development of the umbrella clause is in⁃separable from the changes in the global economic situation,and it has fallen into disputes of unclear validity in the international practice of bilateral investment treaties.Explore the reasons for differences in the interpretation of um⁃brella clauses and analyze the extension of the umbrella clauses’effects across the treaties in the newly typical cas⁃es,to provide beneficial strategies for China to optimize umbrella clauses included in Sino-foreign investment agree⁃ments under the new situation,to better protect Substantial rights of Chinese investors.
