证券民事赔偿诉讼取消前置程序的司法应对——以虚假陈述民事赔偿为视角

摘　　要：我国证券民事赔偿诉讼前置程序的废除渐成现实。前置程序的取消,势必对现有证券民事赔偿司法审判活动的诸多环节造成重大影响。从审判实践出发,前置程序取消后的司法应对,包括诉讼时效的起算、揭露日的认定、重大性的认定、原告举证能力的补强、防范滥诉、民事诉讼与行政执法的协同等,攸关我国资本市场行政监管与司法审判的有效应对及协同配合,内应我国资本市场的长远健康发展与良性系统生态。本文从理论维度和实践视角对前置程序取消后的证券民事赔偿制度的整体运行以及重要环节加以审视反思,修正既有的应急性立法理念与制度设计,为建构科学高效且适应本土国情的中国特色证券民事赔偿责任制度提供方案与思路。The abolition of the preposition procedure of securities civil compensation litigation in China has gradually become a reality.The cancellation of preposition procedure is bound to have a significant impact on many links of the current judicial activities of securities civil compensation.From the perspective of judicial practice,the judicial responses after the cancellation of the preposition procedure,including the beginning of the limitation of action,the determination of the disclosure date,the identification of the materiality,the intensification of the plaintiff’s ability to adduce evidence,the prevention of excessive litigation,the coordination of civil litigation and administrative law enforcement,are urgent issues.Meanwhile,these judicial responses are also relevant to the effective adjustment and coordination of capital market administrative regulation and judicial process.Moreover,the judicial responses should echo the appealing of the long-term healthy development and benign ecosystem of Chinese capital market.From the theoretical and practical perspectives,this paper examines and reflects on the overall operation and important links of the securities civil compensation system after the cancellation of the preposition procedure,revises the existing legislative concept and system design employed for emergent purpose,and provides solutions and approaches for the construction of a scientific and efficient securities civil compensation system with Chinese characteristics that is adapted to the local conditions.
