基于模拟谈判的装备采购合同知识产权条款拟制研究

摘　　要：装备采购是我国国防能力建设最重要的手段之一,对加强我国军事能力建设、提高国际影响力至关重要。为了对装备采购合同各方知识产权的归属、利益分配等核心要素进行明确,对涉及的关键、领先国防知识产权进行保护,本文针对军队装备采购合同中知识产权相关条款较少的问题,开展了装备采购合同知识产权条款拟制研究。研究首先分析了装备采购的特点,然后按照装备采购知识产权从产生到转化的全过程,研究拟制了目标知识产权、知识产权权利归属、技术秘密使用权、实施权利优先、甲方的使用和限制及纠纷处理等六条具有代表性的装备采购知识产权条款,最后通过模拟谈判的形式,结合具体合同开展条款适用性研究。本研究可为军队装备采购合同知识产权条款的拟制提供可选思路。Equipment procurement is one of the most important means to build our national defense capability, which plays a vital role in strengthening our military capability and enhancing our international influence. In order to clarify the ownership of the intellectual property rights and the distribution of the interests of the parties to equipment procurement contracts, it is essential to protect key national defense intellectual property rights. Given the limited amount of research regarding intellectual property and military equipment procurement contracts, this paper examines the drafting of articles concerning intellectual property with respect to the equipment procurement contract. The characteristics of equipment procurement are analyzed. By considering the entire process of equipment procurement, from the generation to the transformation of intellectual property rights, this paper studies and drafts six typical items of equipment procurement, including target intellectual property, ownership of intellectual property, use rights concerning technical secrets, rights pertaining to enforcement priorities, use and limitation of Party A, and dispute settlement. Finally, by considering negotiation simulation and the applicability of the terms of specific contracts, this paper provides guidance for the drafting of intellectual property terms in equipment procurement contracts.
