信息披露与重整程序信任机制建设

摘　　要：重整程序债权债务的集体清理、基于继续经营的投资属性与多层次集体协商的特点,决定了信息披露在重整程序中的重要价值。重整程序信任机制的建设要从重整程序的信息非对称性、信息披露的特殊价值等出发,以对信息披露内容类型化、信息披露有效性保障等系统分析为前提。结合信息披露质量体系建设,重整程序的利益平衡与信息披露内容的充分性、重整程序的妥当性与信息披露方式、重整投资的交易属性与对重整投资人的信息披露、重整程序的效率保障与信息披露的及时性、重整程序的司法正义与信息充分保障等就是理论研究与制度改进的路径所在。The important value of information disclosure in reorganization procedure is determined by the collective liquidation of credit and debt, the investment attribute based on continuing operation and the characteristics of multi-level collective negotiation. To construct the trust mechanism of reorganization procedure, we should start from the information asymmetry and special dependence on information disclosure in reorganization procedure, with the analysis of the content classification of information disclosure and the validity guarantee of information disclosure as a prerequisite.Combined with the quality system construction of information disclosure, the path of theoretical research and system improvement lies in the interests balance in reorganization procedure and the content adequacy of information disclosure, the appropriateness of reorganization procedure and the mode of information disclosure, the attribute of investment transaction in the reorganization and the information disclosure to reorganizing investors, the efficiency guarantee of reorganization procedure and timeliness of information disclosure, the judicial justice of reorganization procedure and the adequate information security, etc.
