摘　　要：股份合作制是新时代下发展新型农业经营主体的理论基石,新型农业经营主体立法具有现实基础、历史渊源和制度基础。在立法框架下设计新型农业经营主体的治理结构具有重要意义,专业大户和家庭农场的治理结构较为简单,而农民专业合作社和农业产业化龙头企业可以参考企业治理结构设置权力机构、决策机构和监督机构。此外,可以将经营权和所有权分离原则、权责统一原则和多要素同时监管原则作为新型农业经营主体立法的监管原则。The joint-stock cooperative system is the theoretical foundation of developing the new agricultural management subject in the new era,and the legislation of the new agricultural management subject has the realistic basis,historical origin and system basis.It is of great significance to design the governance structure of the new agricultural management subject under the legislative framework.The governance structure of large specialized households and family farms is relatively simple,while the farmer specialized cooperatives and leading enterprises of agricultural industrialization can set up the authority,decision-making body and supervision body by referring to the corporate governance structure.In addition,the principle of separation of management right and ownership,the principle of unity of rights and responsibilities and the principle of simultaneous supervision of multiple factors can be taken as the supervisory principles of legislation of new agricultural management subject.
