论《公司法》第5条第1款的实施——以《公司法》修改为视角

摘　　要：《公司法》第5条第1款作为约束公司"合法、正当营业"的强制性宣示条款,其设定的目的意义和制度功能在于确保公司的经营活动必须遵守法律、行政法规,遵守社会公德、商业道德和诚实信用原则,不得危害国家安全、损害社会公共利益和人类环境利益。但是,现行《公司法》的整体性制度构架中缺乏落实该条款立法主旨的对应罚则和配套措施。基于《公司法》第213、215条规定的不周延性和第20条第3款、第182条、第198条的不适用性,完善公司设立登记撤销制度,引入公司设立无效宣告制度,通过补充现行《公司法》第213条的规定,以民事救济和利益补偿的私法进路,以期达到有效遏止公司违法、不当营业之目的,确保公司设立登记具有足够的公信力。Article 5(1)of the Company Law is a mandatory declaration clause that restricts the company’s lawful and proper business.Its purpose,meaning and system function are to ensure that the company’s business activities must comply with the laws,administrative regulations,social morality and business ethics and shall act in good faith,the business shall not endanger national security,harm the public interest and the interests of human environment.However,there is a lack of corresponding penalties and supporting measures to implement the legislative purpose of this article in the overall institutional framework of the current Company Law in China.Based on the incompleteness of Articles 213,Article 215 and the inapplicability of the Article 20(3),Article 182 and Article 198 in the Company Law,we should improve the existing registration cancellation system of company establishment,introduce the judged invalidation system of company establishment.By supplementing and amending Article 213 of the current Company Law,and with the private law approach of civil remedies and benefit compensation,achieve the purpose of curbing effectively illegal and improper operations of the company,and ensure the credibility of the company establishment registration.
