论意思表示规则视域下法定代表人越权对外担保合同效力

摘　　要：以意思表示规则为解析工具,是为了提供一种在民商合一立法体系下实现民商区分的理解思路,分析公司法定代表人越权对外担保原则上无效。公司作为营利性法人,其意思形成机制与自然人不同,不能用简单的合同思维来看待此问题。公司意志的形成应严格依照《公司法》的有关规定。维护市场的交易安全,不能是单边性的交易安全,而应当是在尊重双方的意思表示真实的前提下维护市场的诚实信用规则,维护各方当事人的合法权利。公司的独立人格应当得到尊重,这样的尊重表现在尊重公司的意思自治,尊重其意思形成的团体性、程序性。With the intention expression rule as the analytical tool,this paper demonstrates a way of understanding to realize the distinction between civil and commercial under the legislation system of integrating civil and commercial,and analyzes the principle invalidity of the efect of the guarantee of the company’s legal representative exceeding his authority.The formation of the will of the company shall be in strict accordance with the relevant provisions of the Company Law.To maintain the security of market transactions is not unilateral,but to maintain the honesty and credit rules of the market and the legal rights of the parties on the premise of respecting the authenticity of the meaning of both parties.The independent personality of the company should be respected.Such respect is manifested in the autonomy of the intention of the company and the group and procedure of the formation of the intention.
