农村土地经营权入股的制度困境与对策

摘　　要：农村土地经营权入股虽然获得政策立法的肯定,但在具体操作上面临一些制度困境,需要采用多元手段化解:其一,针对土地经营权因不能依法转让而不符合作价出资条件的困境,可以从回避、模糊处理与制度再造两个层面进行突破。其二,针对“保底分红”分配方式面临“分红乃以有可分配利润为前提”的制度障碍,需尊重实践创造并进行制度调适。其三,针对成员退出时土地经营权处置的制度困境,需尊重自治与兼顾利益相关者的权益。其四,针对土地股份组织解散时土地经营权处置的制度困境,需在坚持入股土地经营权作为责任财产的基础上灵活处置。Although buying stock with land management right is affirmed by policy and legislation,there are still institutional dilemmas in practical operation that need to be resolved by multiple means.First,when land management right cannot be transferred according to law and does not meet the conditions of capital contribution,we can break through the dilemma on the two aspects of challenge or obfuscation and system rebuilding.Second,when the distribution method of“guaranteed dividend”faces the institutional obstacle that“dividend must be based on distributable profit”,we should emphasize practice and innovation and carry out system adaptation.Third,when member s quit causes dilemma of land management right disposition,we ought to respect autonomy and give consideration to the rights and interests of stakeholders.Fourth,when land stock corporation dissolution causes dilemma of land management right disposition,we need cope with the problem flexibly on the premise of sticking to paying off debts with land management right invested as property.
