我国企业跨国并购财务风险及防范研究——以吉利并购沃尔沃为例

摘　　要：随着经济全球化发展,我国企业跨国并购数量增加。企业通过跨国并购开拓国际市场,引进先进技术,扩大企业规模,促进转型升级,提升核心竞争力。论文以吉利集团收购沃尔沃汽车为例,具体分析并购过程中涉及的财务风险,如价值评估风险、融资风险、支付风险、汇率风险和财务整合风险以及防范措施,以便为我国企业跨国并购提供行之有效的方案与建议,促使企业重视并购中的财务风险,提高并购成功率。With the development of economic globalization,the number of cross-border mergers and acquisitions of China's enterprises increases.Through cross-border mergers and acquisitions,enterprises can explore international markets,introduce advanced technologies,expand enterprise scale,promote transformation and upgrading,and enhance core competitiveness.Taking Geely's mergers and acquisitions of Volvo as an example,the paper specifically analyzes the financial risks involved in the process of mergers and acquisitions,such as value assessment risk,financing risk,payment risk,exchange rate risk,financial integration risk and preventive measures,so as to provide effective schemes and suggestions for China's enterprises in cross-border mergers and acquisitions,to urge enterprises to pay attention to the financial risks in mergers and acquisitions,improve the success rate of mergers and acquisitions.
