营商法治环境建设中的预约合同效用分析——以内外制度变迁为视点

摘　　要：合同作为社会经济运行所需的内部制度,与作为外部制度的营商法治环境之间,通过预约合同形成了合乎比例、相互依存的关系,为提升合作效率、推进经济增长的社会集体行为提供了新思路。与传统合同不同,对应当前的营商环境背景,预约合同以决策锚点、持续协商、区间式履行及嵌入式关系的内部机制,呼应营商法治环境建设所需的稳定、公平、现时化、高效等价值,直面传统合同未顾及的制度性交易成本、事前事后信息不对称、有限理性等阻碍,弱化敲竹杠风险、减少交易费用、加速不确定情境中的合作缔结。同时,通过对法律法规“立改废释”需求的切合,协助实现营商法治环境法治化、国际化、便利化的评价标准;为建筑工程项目、科技创新项目等提供了稳定的合作情境,对更高水平的开放型新经济体制形成支撑;为外资企业弱化投资风险的同时缩短事前协商期限,满足营商法治环境稳外资的需求。Contracts,being an inner-system mechanism required by the operation of social economy,create a proportional and reliable relation with legal environment for business as frontier system via pre-contracts,providing a new strategy for higher efficiency and economic growth.Different from traditional contracts,in the current business environment,pre-contracts present the anchoring point to decision making with sustainable negotiation and separable performance and embedded relationship as inner mechanisms,echoing the stability,fairness,contextualization,efficient demands,confronting the obstacles such as information discrepancy and institutional costs and bounded rationality,weakening the risk of post-contract threatens and reducing transaction fees,and thus accelerating the speed in contract signing.At the same time,by virtue of fitting in with the demand of legal alteration,it helps to achieve the international legalize standard of legal environment of business;it provides a steady cooperation situation for formation process and high technology programs,supporting a more openly economic system for a higher-level opening economy;it weakens investment risk for foreign companies reducing time costs in the negotiation period,meeting the requirements of stabilizing foreign investments.
