论农村集体经济组织法人的破产问题

摘　　要：农村集体经济组织法人是农村集体经济的载体和实现形式,兼有集体资产经营管理和公共服务职能,在责任财产方面具有受限性。尽管存在这些"特别性",但该种法人应当具有破产能力,理由在于:破产能力否定说的理由难以成立,其可能陷入债务困境,有利于公平保护债权人权益,能使其获得重新开始的机会,能够切断债务膨胀并防止机会主义行为。在具体程序方面,该种法人仅应适用重整程序,同时应针对其"特别性"设计相应规则并建立破产预防制度。The legal person of the rural collective economic organization is the carrier and realization form of the rural collective economy,which has both the functions of collective assets management and public service,and has the restriction on the liability property.In spite of these“particularities”,this kind of legal person should have bankruptcy capacity.Firstly,the reasons of negation of bankruptcy capacity of this kind of legal person is not tenable.Secondly,this kind of legal person may fall into debt dilemma,and recognition of its bankruptcy capacity has following advantages:promoting fair protection of its creditors,giving it a chance to restart,cutting off debt expansion and preventing opportunistic behavior.In terms of procedures,this kind of legal person should only apply the reorganization system.Special rules should be designed according to the particularities of this kind of legal person.
