摘　　要：《矿产资源法(修订草案)》第29条第2款存在规范属性迷惘、要件内涵不明的弊病,新增该款的妥当性存疑。以教义学路径展开的规范证成应从文义解释与目的解释出发,考虑该款与矿业权审批制度的体系融贯。结合司法裁判所得出的结论为:第29条第2款性质为行政管理规范,矿业权实际控制人变更属于识别变相转让矿业权的核心要素。判断以股权形式转让矿业权可采取实质标准,借助行为支配力理论,结合股权比例、管理权、权利行使条件等要素综合确定矿业权实际控制人变更的事实。股权转让行为与矿业权转让行为效力评价应区分对待,行政审批仅决定矿业权变动效果,无涉股权转让效力。The second paragraph of Article 29 of the"Mineral Resources Law(Revised Draft)"lacks explicit normative attributes and definite elements,which induces reasonable doubts.The dogmatic inter⁃pretation to the provision justification is based on the text,beginning with textual interpretation and purpose interpretation,expanding to the system consistency between the provision and the approval system of min⁃ing.Conclusion drawn from the relevant judicial cases illustrates:the second paragraph of Article 29 is ad⁃ministrative management standards,and the alteration of the actual controller of the mining rights is a core factor to distinguish right transfer.Judging that the transfer of mining rights in the form of equity can adopt substantive standards,with the help of behavioral dominance theory,combining shareholder equity propor⁃tions,management rights,rights exercise conditions and other comprehensive factors to determine the fact that the actual controller of the mining rights has changed.The effectiveness evaluation of shareholder equi⁃ty transfer and mining rights transfer should be treated separately.Administrative approval only determines the effect of mining rights change,and has nothing with the effectiveness of shareholder equity transfer.
