摘　　要：专利权作为重要的知识产权类型,具有无形性、专有性、时间性、地域性和垄断性等不同于有形财产的特征,其运营比实物资本复杂。无效宣告对出资专利权的价值和法律状态产生根本的影响,对公司、股东、债权人及社会公众权利产生重大影响,导致风险和纠纷的发生。构建出资专利权因无效宣告产生的风险防范对策及途径,对出资专利权无效的风险进行事前、事中、事后控制,保障交易安全和经济秩序,为利益相关方提供一个稳定、明晰的预期,促进专利资源的有效利用,改善企业资本结构。As an important type of intellectual property,patent with the characteristics of intangibility,exclusivi⁃ty,timeliness,regionality and monopoly that is different from tangible property.Its operation is more complex than physical capital.Invalidation has a fundamental impact on the value and legal status of the patent right of investment,and has a significant impact on the rights of the company,shareholders,creditors and the public that leading to risks and disputes.So,it is necessary to construct legal countermeasures and ways to prevent the risks caused by the invalidation of patent rights,control the risks of patent rights in advance,during and after the event,ensure the transaction security and economic order,provide a stable and clear expectation for the stake⁃holders of patent rights,promote the effective use of patent resources,and improve the capital structure of enter⁃prises.
