摘　　要：国有企业的混合所有制改革面临着如下一些问题的追问:国有企业为何会出现效率不佳?国有企业为何会出现分配问题?民间资本主导的管理模式如何保障国家对国有企业的控制?国有资本主导的管理模式能否改善管理和提升绩效?混合所有制是国有资本与少数大资本混合还是与大量小资本混合?政府持有“黄金股”的法律依据如何?如何防止“黄金股”对企业经营的过度干预?“一企两制”是否会出现制度安排的冲突?薪酬双重体系能否实现激励相容?国有企业高管降薪是否会造成人才流失?等等。通过这一系列的学理性拷问,有助于前瞻性地洞识改革实践过程中可能出现的问题,也有助于坚定地把握国有企业改革的根本目标。The reform of mixed ownership of state-owned enterprises is faced with the following questions:Why are state-owned enterprises inefficient?Why is unfairly distributed in state-owned enterprises?How does the management model dominated by the private capital guarantee the state s control over state-owned enterprises?Can the management modeldominated by the state capital optimize management and improve performance?Is the mixed ownership a mix between state assets and a few large capitals or between state assets and a large amount of small capital?What is the legal basis for the government to hold‘golden shares’?How to prevent the excessive intervention of‘golden shares’on enterprise operation?Will there be a conflict of institutional arrangements in‘one enterprise,two systems’?Can the dual compensation system achieve incentive compatibility?Will the salary reduction of state-owned enterprise executives cause brain drain?And so on.Through this series of academic rational torture,it helps to proactively understand the problems that may arise in the process of reform practice,and also helps to firmly grasp the fundamental goal of reform.
