摘　　要：本文阐述了国有创业投资企业发展过程中所面临的威胁与机遇,从国家层面与国有创业投资企业层面对国有创投混改的动因进行剖析,提炼出国有创业投资企业混合所有制改革中的主要障碍包括国有资产监管体制不完善、"一股独大"问题、治理机制滞后3个方面,从公司治理体制改革出发,以股东结构、有限合伙制、公司治理结构3个维度为主,探索国有创投混合所有制改革的正确实现路径。This paper expounds the threats and opportunities faced by state-owned venture capital enterprises in the development process,analyzes the reasons of state-owned venture capital mixed ownership reform from the national level and the level of state-owned venture capital enterprises,and puts forward that the main obstacles in the mixed ownership reform of state-owned venture capital enterprises include imperfect state-owned assets supervision system,one share dominating and the lag of governance mechanism.Based on the three dimensions of shareholder structure,limited partnership and corporate governance structure,it discusses the path of mixed ownership reform of state-owned venture capital from the perspective of corporate governance system reform.
