摘　　要：经营判断原则是从董事的决策程序出发,对董事决策过程中的疏忽提供免责的手段,可以说对企业管理与运行有着重要作用。美国公司法对此有成熟的规定和做法,在纺织行业不景气的背景下,很有必要借鉴美国公司法经营判断原则,研究其在我国纺织企业的适用条件,促使纺织企业放开手脚、大胆改革,走出行业困境。Starting from the directors'decision-making process,as a means of providing an exemption for negligence in the process,management judgment principle plays an important role in enterprise management and operation,for which there are mature regulations and practices in American Company Law.Against the backdrop of a recession in the textile industry,it is necessary to learn from the management judgment principles in American Company Law and study the application conditions for China’s textile enterprises so that they could extricate themselves from plight by casting off restrictions and carrying out bold reforms.
