摘 要:“十四五”是全面深化国资国企改革,推进铁路行业竞争性环节市场化的关键时期,也是国铁企业股份制改造的重要战略机遇期。以新时代铁路发展为立足点分析了国铁企业股份制改造的机遇和目的,并总结归纳了日本国铁、美国铁路、中国石化等企业股份制改造的经验方法,最终提出优先进行下属企业股份制改造,同步推进运输业和非运输业改造,以及合理选取股权转让或增资扩股方式等路径建议,为国铁企业股份制改造提供参考依据。The 14th Five-Year Plan is a critical period for comprehensive and deep reform of state-owned enterprises and state-owned assets and promoting the marketization of competitive links in the railway industry.It is also an important strategic opportunity period for the shareholding system reform of China railway enterprises.Based on railway development in the new era,this paper analyzes the opportunities and purpose of the shareholding system reform of China railway enterprises,and summarizes the advanced experience and methods of Japanese National Railways,American Railways and Sinopec Group in shareholding system reform.Finally,the paper puts forward some suggestions,such as prioritizing the shareholding reform among the subordinate enterprises,simultaneously promoting the reform in the transportation industry and non-transportation industry,and rationally selecting the methods of share transfer or capital and share increase.It provides reference for the shareholding system reform of China railway enterprises.
