商事登记的法律效力问题研究

摘　　要：商事登记作为商事制度的重要内容,是近年来我国健全市场经济监管体制、优化营商环境的重点关注方向。虽然近年来国家持续完善的商事组织法、商事登记法规促进了商事登记制度的运行效率和效果,但就当前复杂环境下商事登记法律制度的实际运行情况来看,仍然存在立法分散、规则标准不统一、效力不明确等问题,制约了商事登记功能的发挥。基于此,本文拟以商事登记法律效力为研究点,着重对当前商事登记制度运行中存在的法律效力不明确问题进行研究探讨,从法律视角分析明确和提高商事登记法律效力的路径和方法,为促进商事登记制度运行效果提供相应的参考。As an important part of the commercial system,commercial registration has been the focus of China to improve the market economy supervision system and optimize the business environment in recent years.Although in recent years,countries continue to improve the commercial registration of commercial organic law,laws and regulations to promote the effi ciency and effect of commercial registration system,but in the current commercial registration legal system under the complex environment of actual operation,there are still scattered legislation,rules,standard not unified,the effect is not clear,restricted the function of commercial registration.Based on this,the paper with commercial registration legal force as the research point,focus on the current problems in the operation of the system of commercial registration law ambiguous problem,research from the perspective of law clear and improve the path and methods of the business registration law,to promote the commercial registration system running effect to provide the corresponding reference.
